Practice Emphasis
Mr. Dunn's practice emphasizes business and tax law, real estate matters and estate planning. Mr. Dunn has represented all types of business enterprises ranging from individual proprietors to publicly held corporations.

Education
Mr. Dunn is admitted to practice law in Oregon and before the United States District Court of Oregon and the U.S. Tax Court.

Mr. Dunn graduated in 1968 from Boston College with a Bachelor of Science degree in accounting cum laude. In 1971, Mr. Dunn received a Juris Doctorate degree from Notre Dame Law School. While attending Notre Dame Law School, Mr. Dunn worked as a tax specialist with the CPA firm of Lybrand, Ross Bros. and Montgomery (now known as Coopers & Lybrand).

Professional Activities
Mr. Dunn is very active in community activities including: President of the Portland Croquet Club; President of the Charitable Trust Board of The Downtown Rotary Club of Portland and member of the Planned Giving Committee of The Library Foundation (Multnomah County Library).

Representative Client Matters

  • Mr. Dunn has formed for clients numerous business entities using all varieties of business forms, including partnerships, corporations ("C" Corp and "S" Corp), limited liability companies, limited partnerships and family limited partnerships. Mr. Dunn has been involved in numerous transactions ranging from small asset acquisitions to major transactions. Recently, Mr. Dunn has handled the asset acquisition of a Northwest manufacturing business by a New Jersey based national corporation (value $250,000); the acquisition by a minority shareholder of the majority shareholder's interest in an Oregon financial services corporation (value $75,000); tax free spin off of a sales and marketing division (value $1.5 million) from its parent corporation (value $16 million); and the acquisition of a 50% interest in a partnership by one partner from another followed by the tax free formation of a new corporation (value $65,000).
  • In addition to the business transactions, Mr. Dunn has been involved in substantial real estate transactions in which he has represented either buyers or sellers which transactions range in size from under $200,000 to in excess of $50 million.
  • The majority of Mr. Dunn's clients are individuals and their closely held corporations who enjoy the benefits of Mr. Dunn's legal and tax experience to coordinate the planning of their business, real estate and estate planning affairs.
